Welcome to R Cube Dev. These Terms and Conditions ("Terms") govern your use of our website (rcubedev.in) and the professional software development, maintenance, and digital marketing services provided by R Cube Dev ("we", "us", or "our").

By browsing our website, requesting a proposal, or entering into a service agreement with us, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our website or engage our services.

1. Services Offered

R Cube Dev operates as a digital technology and software development agency offering:

  • Custom Website and Web Application Development
  • Mobile Application Development
  • Software Maintenance, Updates, and Technical Support
  • Google Business Profile (GMB) Optimization and Management
  • Google Review Consultation and Reputation Management Services

Detailed project deliverables, timelines, milestones, and specific service-level agreements (SLAs) are set forth in individual proposals, Statements of Work (SOW), or written agreements agreed upon prior to project initiation.

2. Proposals, Scoping, and Engagement

  • Estimates & Scopes: All proposals and quotes provided by R Cube Dev are based on the initial requirements supplied by the client. Any subsequent expansion of scope, structural change, or additional feature request will be treated as an out-of-scope change request and will be quoted separately.
  • Client Responsibilities: Timely completion of any project relies on your active cooperation. You agree to provide required assets (such as logos, branding assets, copy, server credentials, third-party API keys, and approvals) in a timely manner. Delays resulting from missing client-side dependencies will adjust delivery schedules accordingly.

3. Payment Models and Invoicing

We offer flexible billing arrangements based on project requirements and client priority:

  • Fixed-Price Projects: Divided into scheduled milestones (e.g., initial deposit/advance, mid-project milestone, and final release milestone). Work commences only after the agreed-upon security deposit or upfront milestone is received.
  • Hourly Billing: Invoiced periodically (weekly or monthly) based on logged hours for ongoing development, ad-hoc maintenance, or consulting tasks.
  • Invoicing Terms: All invoices are due within the timeframe specified on the invoice (typically 7 to 14 days). We reserve the right to suspend active development, withhold deployments, or pause maintenance services if invoices remain overdue.
  • Currencies & Taxes: Depending on whether the client is domestic (India) or international (US, UK, Europe, Australia, etc.), invoices will reflect agreed currencies (such as INR, USD, GBP, EUR, or AUD). International transaction fees, currency conversion charges, and applicable local taxes are the responsibility of the paying party unless explicitly agreed otherwise.

4. Intellectual Property and Source Code Ownership

Please read this section carefully, as it governs the ownership of work produced by R Cube Dev:

  • Source Code Retention: Unless explicitly negotiated and specified in writing in a dedicated contract, R Cube Dev retains full legal ownership, copyright, and intellectual property rights to all original source code, scripts, software architecture, and custom codebases developed during any engagement.
  • License to Use: Upon receipt of full and final payment, the client is granted a non-exclusive, non-transferable license to host, run, and operate the compiled/deployed application for its intended commercial purpose.
  • Source Code Buyout: Source code handovers, repository transfers, and assignment of full underlying copyright are not included by default. Should a client require full ownership and transfer of the uncompiled source code, this must be requested separately and will incur an additional source code buyout fee.
  • Pre-existing Assets & Boilerplates: R Cube Dev retains absolute ownership over its proprietary libraries, starter boilerplates, algorithms, tooling, and general components developed independently of the client project.
  • Third-Party & Open Source: Any open-source packages, third-party libraries, or plugins integrated into deliverables remain governed by their respective licenses (e.g., MIT, Apache, GPL).
  • Portfolio & Attribution Rights: R Cube Dev reserves the right to display completed, publicly accessible work, project snapshots, and non-confidential case studies in our professional portfolio, website, and promotional materials, unless a strict Non-Disclosure Agreement (NDA) barring attribution is mutually signed beforehand.

5. Third-Party Services and Platform Dependencies

  • Hosting & External APIs: We build software that may interface with external APIs, cloud infrastructure, domain registrars, and third-party SaaS tools. We are not responsible for downtime, API deprecation, price hikes, or service interruptions caused by third-party providers.
  • Google Services (GMB & Reviews): For Google Business Profile and Google Review management services, we work within the boundaries of Google's policies and guidelines. We do not control Google's algorithms, indexing speeds, or suspension decisions. We do not practice, support, or offer fraudulent review generation; our services focus on legitimate reputation management, review generation workflows, and profile optimization.

6. Warranties and Acceptance

  • Acceptance Testing Period: Following the delivery of a completed milestone or final build, the client is given a defined review window (typically 7 to 14 calendar days) to test the deliverable and report bugs directly related to the agreed scope.
  • Scope of Bug Fixes: Valid bugs reported within this testing window will be resolved at no additional charge. Bug reports submitted after the acceptance window, or issues stemming from subsequent client modifications, third-party plugin updates, or server environment changes, fall under billable maintenance.
  • As-Is Provision: Except as explicitly written in an active service contract, our digital products and website are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Under no circumstances shall R Cube Dev, its founders, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, loss of data, business interruption, or reputation damages—arising from the use or inability to use our deliverables.
  • Our total cumulative liability arising out of or related to any project engagement, regardless of the forum or legal theory (whether in contract, tort, or otherwise), shall not exceed the total fees actually paid by the client to R Cube Dev for the specific service giving rise to the claim during the three (3) months preceding the event.

8. Termination of Services

  • Termination for Convenience: Either party may terminate an ongoing retainer or hourly engagement by providing written notice (typically 14 to 30 days) via email.
  • Consequences of Termination: Upon notice of termination, all work stops immediately. The client remains responsible for payment of all billable hours worked and milestones completed up to the date of termination. Any unpaid work or unpaid deliverables will not be deployed or handed over.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or our services shall be governed by and construed in accordance with the laws of India.

Any legal action, dispute resolution, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Kolkata, West Bengal, India.

10. Modifications to These Terms

We reserve the right to revise these Terms at our discretion. Any revisions will be published directly to this page with an updated lastUpdated date. Continued use of our website or engagement of our services after such changes implies your acceptance of the revised Terms.
